CHAPTER 1

GENERAL STANDINGS

 

Foundation with non-profitable aims for activities in favor of the civil society with the name “Sofia International Model United Nations” (SOFIMUN), further called in this statute “The Foundation”, is a voluntary, non-profitable, non-governmental and non-political organization, founded in accordance with the Act for juridical subject with non-profitable aim (AJSNI, SN issue 105/2006)

CHAPTER 2

NAME AND SYMBOLS

 

1. The Foundation will realize its activities under the name: Sofia International Model United Nations” or abbreviated as “SOFIMUN”.

(1) If additionally needed the name of The Foundation is written on one of the 6 official languages of the United Nations Organization:

-          English language

-          French language

-          Russian language

-          Arabic language

-          Spanish language

-          Chinese language

 

2. The symbol of The Foundation is its logo.

(1) The logo constitutes and is formed as followed:

-          form: square with 3 rows – upper, middle and bottom row

-          element 1: 3 Latin letters “SOF” – one next to other – color: white – from left to right on a various color background.

-          element 2: the English word “INTERNATIONAL” – on a gray background with white letters

-          element 3: 3 Latin letters “MUN” – one next to other – color: white – from left to right on a various color background.

-          color 1: black

-          color 2: white

-          color 3: gray

-          color 4: green

-          color 5: red

-          color 6: yellow

-          color 7: blue

-          alignment – upper row: element 1, the colors are arranged as followed: on the left, top and bottom side of the Latin letter “S” – green color; on the right side of the Latin letter “S” and on the left side of the Latin letter “O” – red color; the inner sides of the Latin letter “O” – yellow color; on the right side of the Latin letter “O” and on all sides of the Latin letter “F” – blue color.

-          alignment – middle row: gray filling of the row with height of 1:13 and width 1:1 of the whole square.

-          alignment – bottom row: element 3, the colors are arranged as followed: on the left and bottom sides of the Latin letter “M” – green color; on the top and right sides of the Latin letter “M” and on the left side of the Latin letter “U” – red color; on the top side of the Latin letter “U” – yellow color; on the right side of the Latin letter “U” and on all side of the Latin letter “N” – blue color.

 (2) The logo and all rights are reserved and belong to The Foundation.

CHAPTER 3

HEADQUARTERS AND ADDRESSES

 

3. The Foundation has headquarters, address for correspondence, contact address.

(1) The headquarters of The Foundation has the following address: EU, Republic of Bulgaria, Sofia city, j.k. Suha reka, bl. 30, ap.32.

(2) The address for correspondence with The Foundation is: EU, Republic of Bulgaria, Sofia city, j.k. Suha reka, bl. 30, ap.32.

(3) Contact address of The Foundation is its office if available. If an office is available the contact address is also the address for correspondence.

(4) Every written statement by The Foundation has to have its name, contact data (e-mail addresses and telephone number) and logo.

CHAPTER 4

AIMS OF THE FOUNDATION AND MEANINGS FOR THEIR ACHIEVEMENT

 

4. Main aims of The Foundation are:

1. development of the work and the treasuring of the values and principles of the United Nations Organization that are laid down in the Statute of the United Nations Organization;

2. development and proclamation of the principles of peace, mutual cooperation, tolerance, right of education and self-determination and intercultural dialogue on local and global scale;

3.  development and the approval of education, science and culture on a local and global scale;

4. development and the approval of the religious values of the civil society as well as its participation in the civil life;

5. establishment of techniques and support of the social integrity and personal and professional realization;

6. protection of human rights and of the environment;

7. building-up, keeping and proclamation of common cultural values;

8. active support in the process of establishment and development of the intercultural dialogue, peace, stability and international cooperation.

 

5. In order to achieve the aims of The Foundation will use the following means:

1.  establishment of contacts and cooperation with institutions, organizations, physical and juridical subjects both nationally and internationally for the organization and realization of mutual project and initiatives, related with the main aims of the Foundation;

2.  application for projects and participation in the realization of projects in national and international programs, related to the development and proclamation of the civil society, the principles of democracy and equal rights, protection of environment; realization of cultural and educational activities and other activities that are not prohibited by national and international law;

3.  spread of information, consulting and preparation for projects and application for national and international programs, as well as, but not only, programs sponsored by the World Bank, structural funds, international, civil and private funds;

4.  application for programs and projects, as well as, but not only, related to education, qualification and prequalification  of young people with them aim for future personal and professional realization;

5.  providing support to its members for their participation in international and private programs and projects;

6.  organizing and participation in international meetings, summits, discussions, courses, seminars, as well as other initiatives, national and international events, related with the achievement of the aims of The Foundation;

7.  conduct of social programs and organization of voluntary and other assisting initiatives;

8.  attraction, education and employment of volunteers and working specialists, needed for the realization of the aims of The Foundation;

9.  implementation of informational activities, as well as organization and carrying out of events related with this activity;

    10. organization of civil, social, culture, sport and other types of events that incorporate civil, social and other characters.

CHAPTER 5

ACTIVITIES

 

6. The Foundation realizes activities in favor of the civil and will distribute its possessions for the achievement of its aims.

(1) The Foundation conducts activities mainly with young people; preparation and realization of projects, related with education and qualification of young people; proclamation of human nature, clemency and charity; supports for the development and proclamation of the civil society;

(2) The Foundation works for the development, proclamation and treasury of the values of the Organization of the United Nations, in Bulgaria and abroad;

(3) The Foundation organizes annually an international conference for student, young leaders and specialists with the name “Sofia International Model United nations”.

1. The identity of the conference SOFIMUN is the involvement and participation of young people in the work of the United Nations Organization by simulating its activities in different areas and aspects.

2. The aim of the SOFIMUN conference is the better and multi-side education of the United Nations Organization, as well as the presentation of actual solutions by the participants in its activities.

3. The rights on the name and the format are possessed and belong to the Sofia International Model United Nations Foundation.

4. During the SOFIMUN conference, The Foundation may organize a simulation of the work of other world, international and regional organizations as NATO (North-Atlantic Treaty Organization) and institution of unions such as the European Parliament and/or the European Commission and/or the Council of Ministers of the EU (European Union).

5. The governing organ of The Foundation constructs and implements the handbook of rules in order to conduct the SOFIMUN conference.

(4) The Foundation works to develop the academic, theoretical and practical knowing and abilities of the participants at the annual SOFIMUN conference and/or in other projects, as well as for its members.

(5) The Foundation sets forward easier measures for the development of academic and social activities related to the United Nations Organization or other organizations.

(6) The Foundation helps the participation of its members and participants in its own projects as well as in different projects and various initiatives related with the main activities and aims of The Foundation.

(7) The Foundation cooperates in different ways with other organizations and initiatives in Bulgaria and abroad, as well as with all organization and initiatives that share the same values and aims.

(8) The Foundation helps and supports the interest and active participation of young people in the work of the United Nations Organization and other organizations.

CHAPTER 6

ORGANS OF THE FOUNDATION

 

7. The Organs of The Foundation are:

-          Board of Founders

-          Board of Trustees

-          Board of Directors

-          Executive Director

 

 

CHAPTER 7

BOARD OF FOUNDERS

 

8. The Board of Founders (BF) is the highest organ of The Foundation. It gathers once annually and accepts program for development of the activities of The Foundation. The decisions of BF are obligatory for all the other organs of The Foundation.

 

9. Competency of the Board of Founders:

(1) elects and dismisses the President of the Board of Directors, the Executive Director and the President of the Board of Founders of The Foundation with unanimity;

(2) changes and adds to the Statute of The Foundation with unanimity;

(3) has the right to take other decisions that are related to The Foundation with unanimity.

 

10. The BF is called by the President of the BF with a 10 day notice for meeting that should be submitted to the attention of the founders of The Foundation.

CHAPTER 8

BOARD OF TRUSTEES

 

11. The Board of Trustees (BT) is an organ with representative functions in the structure of The Foundation and is not engages with a number or type of members;

 

12. The activities of the BT are to advise and support in an expert manner The Foundation and its members on question and matter that are related with the activities of The Foundation in order to achieve its aims;

 

13. Member of the BT can be every person with Bulgarian and/or other citizenship that supports the aims and activities of The Foundation;

(1)  The position of being a member of the BT is voluntary and is proposed to the future member of the BT by the Governing organ of The Foundation and is confirmed by its formal agreement;

(2)  The position of being a member of the BT is a representative on and is proposed to the future member of the BT as a show of respect to his professional and personal qualities. The Foundation turns to the member of the BT for expert opinion and help in order to achieve the aims of The Foundation;

(3)  The members of the BT can take active role and also participate in the activities of The Foundation and to propose certain measures and ideas;

(4)  Proposal for membership in the BT made by the Governing organ of The Foundation, after it has received a proposal from its members;

(5)  The proposal for becoming a member of the BT of The Foundation is conducted when the personal and professional qualities of the future member can be of help and assist the activities and the achievement of the aims of The Foundation;

(6)  The position of being a member of the BT is not engaged or limited by a certain timeframe.

(7)  The position of being a member of the BT can be terminated by the Governing body of The Foundation, which is immediately put into action or in a time when the member has chosen. In the later situation The Foundation has to be informed 1 month before the date of termination.

(8)  The members of the BT of The Foundation do not have juridical function and there position does not give them legal rights to represent The Foundation;

(9)  The Foundation takes on the responsibility on its discretion to ensure the provision to the members of the BT the needed conditions in order to have full participation in its activities; to provide the members of the BT with information; to gratitude the help of the members of the BT for their devotion to the activities of The Foundation;

(10) The members of the BT are not required to submit a membership fee to The Foundation.

CHAPTER 9

BOARD OF DIRECTORS

 

14. The Board of Directors (BD) is the operative organ of The Foundation.

(1) The BD constitutes of director of difference divisions that are required for the successful work of The Foundation. The concrete division are not matter of attention of this Statute.

(2) The President of the BD is elected and approved by the BF and he must be a member of the BD on first place.

(3) The other members of the BD are elected with unanimity by the President of the BF and the Executive Director of The Foundation.

(4) The President of the BF and the Executive Director are also members of the BD.

(5) The decisions of the BD are mandatory for all organs of The Foundation but should be in accordance with the decisions of the BF.

(6) The President of the BD ensures the implementation of the decision of the DF.

(7) Supports the Executive Director and his activities.

(8) The President of the BD can sign acts and binding documents when this does not order The Foundation to have financial involvement.

 

15. Competency of the Board of Directors:

(1) accepts the annual financial report and the budget of The Foundation;

(2) accepts the annual activity report of the Executive Director;

(3) The President of the BF and the Executive Director decide with unanimity the involvement of The Foundation in other organizations.

CHAPTER 10

EXECUTIVE DIRECTOR

 

16. The Foundation is governed by the Executive Director

(1) The Executive Director is assisted and supported in his activities by the members of the BD.

(2) The Executive Director has the right to employ assistants in order to facilitate the process of achieving the aims of The Foundation.

 

Competencies of the Executive Director

 

17. (1) The Executive Director has he following competencies:

     1.       ensures the implementation of the decision of the BF and the BD;

     2.       has the right to manage the possessions and property of The Foundation in accordance with the Statute of The Foundation;

     3.       prepares and submits to the attention of the BD a project-budget for every concurrent year;

     4.       prepares and submits to the attention of the BD a report for the activities of The Foundation;

     5.       determines the order and organizes the conduct of the activities of The Foundation;

     6.       accepts inner acts and decision, that do not contradict with the laws of the Republic of Bulgaria;

     7.       accepts, denies membership and expels members; notes the termination of membership of members in The Foundation;

     8.       accepts the main directions and program for activities of The Foundation;

     9.       forms permanent and non-permanent commissions;

     10.     forms working groups, which have the statute of working commissions with consultative functions;

    11.     chooses an independent auditor (licensed expert-accountant), who conducts a check and signs the annual financial report of The Foundation. This signature is a prerequisite for the acceptance of an annual financial report by the BD.

(2) The competencies mention in 17: point 2, point 3, point 4, point 5, point 7, point 8, point 9, point 10, point 11 can be conducted by the President of the BF.

CHAPTER 11

QUORUM

 

18. A session of the BF is legal if during it all members are personally present. The quorum is checked by the President of the BF with a list in which the present members’ names are written and signed by the members and is signed by the President of the BF. It is then incorporated in the protocol of the session. If the quorum is not reached then the session is not conducted.

CHAPTER 12

VOTING

 

19. Every member of the BF has the right of 1 vote.

(1) Voting during a session of the BF is open and by name, with signature of the voting member on the attachment of the protocol of the session. The legitimacy of the protocol and the attachment are signed by the President of the BF and marked with the stamp of The Foundation by the carrier of the stamp.

(3) The members of the BF cannot represent each other.

CHAPTER 13

REPRESENTATION

 

20. The Foundation is legally represented by the President of the BF and by the Executive Director only together.

CHAPTER 14

MEMBERSHIP

 

Membership fee

 

21. The annual membership fee is 25% of a 1 month minimal working salary in the Republic of Bulgaria for physical subjects and – 100% of a 1 month minimal working salary in the Republic of Bulgaria for juridical subjects.

 

Membership, rights and obligations

 

22. Membership in The Foundation is a voluntary act.

(1) member of The Foundation can be every person or juridical subject with Bulgarian and/or other citizenship or registered in Bulgaria or abroad, that shares and respects the aims of The Foundation and the means for their achievement, and who/which accepts the Statute of The Foundation.

 

23. Members of The Foundation are accepted by the President of the BD and/or by President of BF (also called President of The Foundation) and/or by the Executive Director.

(1) The candidates for membership submit an application for membership (sampled) in written form and a declaration for clean court history (not having been convicted or sentenced) to the attention of the President of the BD and/or to President of BF (also called President of The Foundation) and/or to the Executive Director. On the discretion of the President of the BD and/or of President of BF (also called President of The Foundation) and/or of the Executive Director can require for more documents to be presented.

(2) In case of denial of acceptance of a candidate for membership in The Foundation, the decision of the President of the BD and/or of the President of BF (also called President of The Foundation) and/or of the Executive Director is not subject of appeal. If membership status is not granted then the denial is not required to be explained.

(3) Every member of The Foundation has the following rights: to participate in the governing of The Foundation, as well as to be elected for member of the BD; to be granted, supported and assisted by The Foundation and its possession and property; to be informed of the activities of The Foundation by the legal way explained in the laws, acts and the Statute of The Foundation.

(4) Every member of The Foundation has the following obligations:

a) to work in accordance with the regulatory of the Statute; to participate in the activities of The Foundation; to assist for the achievement of the aims and goals of The Foundation;

b) to help the conduct of the decision of the organs of The Foundations;

c) with his actions and/or public behavior to contribute to the rise of the social prestige of The Foundation;

d) to be loyal to The Foundation and the other members;

e) personally and as a member of other organizations with non-profitable aims to not work in rivalry activities or initiatives that might lead to negative consequences for The Foundation;

f) to inform in written form the Executive Director of The Foundation in case of conflict of interests between him and/or related to him persons and The Foundation.

 

24. (1) The membership rights and obligations, with the exception of the possession rights, cannot be shifted or transferred on other persons or juridical subjects in case of death of the physical member or after a possible termination or restructuring of The Foundation.

 

Termination of Membership

 

25. Procedures for termination of membership status:

(1) Membership may be terminated in the following cases:

     1.       with a one-sided written statement submitted to the attention of the Executive Director;

     2.       with the death or by putting the person under limited interdiction;

     3.       in drop-out situation;

     4.       in expel situation;

(2) Drop-out situation is when the member systematically does not participate in the activities of The Foundation. Systematical non-participation is when a member of the Foundation does not participate in person or by a representative in 2 consecutive sessions of The Foundation. The drop-out is noted by the Executive Director on documents and protocols.

(3) The decision for a member to be expelled is taken by the Executive Director of The Foundation when a behavior that makes a further cooperation inevitable, as well as when the membership fee is not submitted. Motivated proposal for a member to be expelled can be made by every member of The Foundation. The Executive Director is not obliged to motivate his decision.

(4) Termination of membership status according to line 1, point 1 and point 2 of this member is automatically proceeded from the moment of occurrence of the event. The Executive Director notes the termination. Termination of membership status according to line 1, point 3 and point 4 of this member occurs from the moment of the noting of the event, thus in the moment of the decision made by the Executive Director.

CHAPTER 15

POSSESSION

 

Formation of Possession

 

26. (1) The possessions and properties of The Foundation are formed as follows:

     1.       donations, wills, testaments and sponsoring from persons and juridical subjects;

     2.       financing from the World Bank, structural and other funds, international, social, civil and other private organizations;

     3.        incomes, earnings from additional profitable activities, acquired in the legitimate way as described by the Bulgarian law and the Statute of The Foundation;

(2) The possessions of The Foundation are put into bank deposits, bonds, stocks, shares of private and government companies, real-estates or other appropriate ways. The investments have to be secure and to guarantee incomes for the preservation and rise of the possession. Inflation processes should be monitored and are not subject of excuse.

 

Obligation for Assigned Book

 

27. (1) The Foundation is obligated to assign books of protocols from the sessions of the BF. The President of the session of the collective organ and the person who has constructed the protocol bear the responsibility for the legality of their contents.

(2) The Foundation prepares a report for its activities on an annual basis which is then submitted to the Central Register of the Ministry of Justice of the Republic of Bulgaria and it has to incorporate data concerning:

1.  the maintained and realized activities; expenditure made for them; relations with the aims that have been put forward; program of The Foundation; achieved results;

2.  the size of freely gained possession; incomes from other activities; gathered funds and possession;

3.  the financial result.

 

Expenditure of Possessions

 

28. (1) The Foundation can freely expend its possession and realize activities that support the achievement of the aims, put forward by the AJSNI.

(2) The selection of persons and the ways of the support from The Foundation is done in accordance of the aim and financial abilities of The Foundation, according to the order and rules for the realization of the activities. Information upon the order by which the selection process is done is public and is written in the Central Register.

(3) For free expenditure of possessions of The Foundation is needed a motivated decision made by the President of the BF and the Executive Director with unanimity when the decision is in favor of:

1. persons from the members of it organs and their spouses and relatives;

2. persons that have been members of the organs of The Foundation who have not been in the mentioned relations at least 2 years before the time of the decision;

3. juridical subjects who have sponsored The Foundation and who have not been in the mentioned relations at least 3 years before the time of the decision;

4. juridical subjects in which the mentioned persons in point 1 and point 2 are governing or executives or who may influence or stop the taking of a decision.

(4) The Foundation cannot sign agreements with the persons mentioned in line 3, point 1, as well as juridical subjects, in which the mentioned persons are governing or executives or who may influence or stop the taking of a decision, except in cases of great value and that are in favor of The Foundation, or have been agreed upon common terms that have been publicly announced.

(5) All other decisions for the expenditure of possession are executed by the President of the BF and the Executive Director with unanimity.

CHAPTER 16

HONORARY CHAIRPERSON

 

29. Honorary Chairperson (HC) of The Foundation can be every person with Bulgarian or other citizenship that shares the aims and activities of The Foundation.

(1)    The HC of The Foundation has no legal or representative functions and receives this position as a respect of The Foundation and its members to his engagement for the achievement of the aims and activities of The Foundation;

(2)    The position of HC of The Foundation is voluntary and is proposed to a chosen person by The Foundations and is confirmed by his/hers positive answer;

(3)    The HC has special rights in The Foundation; participates in its activities; submits proposals to the Governing organ in order to support the activities and aims of The Foundation and every proposal is looked upon with certain attention from the Governing body of the Foundation;

(4)    HC of The Foundation is elected by the Governing organ of The Foundation by a proposal from its members;

(5)    The HC of The Foundation does not have juridical functions and from his position do not relate no juridical rights or obligations concerning the activities of The Foundation;

(6)    The HC may represent The Foundation or speak on behalf of its name only in talks that do not bind The Foundation in juridical way;

(7)    The Foundation, at its own discretion, takes on the responsibility to ensure that the HC has the ability to participate in the activities of The Foundation; to inform him for its activities; to gratitude his involvement in the activities of The Foundation;

(8)    The position of the HC is not limited to a certain timeframe;

(9)    The position of being HC can be terminated by the Governing body of The Foundation, which is immediately put into action or in a time when the member has chosen. In the later situation The Foundation has to be informed 1 month before the date of termination.

CHAPTER 17

TERMINATION AND RESTRUCTURING

 

30. The existence of The Foundation is not time limited or other prerequisite for termination.

 

31. The termination or the cease of existence of The Foundation is made in the way governed by the law.

 

32. The Foundation cannot be restructured into a juridical subject with non-profitable aims for activities in favor of a private subject or into another type of juridical subject for profitable activities and profitable aim.

CHAPTER 18

FINAL ORDERS

 

The undisputed questions and matters in this Statute obey the common regime of the Act for juridical subject with non-profitable aim.

 

The provided Statute is accepted and signed on the founding session of foundation Sofia International Model United Nations”, in Sofia city on December 23 2008.

 

The provided Statute is modified and edited at a General Assembly session of foundation “Sofia International Model United Nations”, in Sofia city on September 26 2011, signed by the chairperson and the secretary of the Assembly, as well as by the members of the Governing body.
